Terms and Conditions for the IONH LABORATOIRE Affiliate Program
Welcome to the IONH LABORATOIRE Affiliate Program (the "Program"). By signing up as an affiliate ("Affiliate") and participating in the Program, you agree to the following terms and conditions ("Terms"). These Terms are designed to protect both the Affiliate and IONH LABORATOIRE ("Company", "we", "us", or "our"). Please read them carefully.
1. Enrollment in the Program 1.1. To enroll in the Program, you must complete and submit the online application form. We will review your application and notify you of your acceptance or rejection. Our decision is final and not subject to appeal. 1.2. We may reject your application if we determine, at our sole discretion, that your website, social media, or other promotional channels are unsuitable for the Program.
2. Affiliate Responsibilities 2.1. You agree to actively promote IONH LABORATOIRE products using only the promotional materials provided or approved by us. 2.2. You must not make any false or misleading claims about our products or business. 2.3. You must not engage in any form of spam or unsolicited commercial email (UCE). 2.4. You must comply with all applicable laws and regulations, including data protection laws. 2.5. You must clearly disclose your affiliate relationship with IONH LABORATOIRE in all promotions, as required by the Federal Trade Commission (FTC) or other regulatory agencies.
3. Affiliate Links 3.1. We will provide you with a unique affiliate link ("Link") to track sales generated through your promotions. 3.2. You must use the Link provided to ensure proper tracking and commission allocation. 3.3. You must not alter or manipulate the Link in any way.
4. Commissions 4.1. You will earn a commission on eligible sales made through your Link. The commission rate and eligible products will be specified in the Program details. 4.2. Commissions will be paid monthly, provided you have reached the minimum payout threshold specified in the Program details. 4.3. Commissions will not be paid on orders that are refunded, canceled, or otherwise deemed invalid. 4.4. We reserve the right to adjust commission rates and payment terms at any time, with notice to Affiliates.
5. Termination 5.1. Either party may terminate this agreement at any time, with or without cause, by giving the other party written notice. 5.2. Upon termination, you must cease all promotional activities and remove any Links and promotional materials related to the Program. 5.3. Any unpaid commissions earned before the termination date will be paid in accordance with the normal payment schedule.
6. Intellectual Property 6.1. All intellectual property rights, including trademarks, logos, and copyrighted materials, provided to you by IONH LABORATOIRE remain our property. 6.2. You are granted a limited, non-exclusive, non-transferable license to use the provided promotional materials solely for the purpose of participating in the Program. 6.3. You must not use our intellectual property in any manner that is disparaging or otherwise damages our reputation.
7. Limitation of Liability 7.1. We make no express or implied warranties or representations regarding the Program or any products sold through the Program. 7.2. We will not be liable for any indirect, incidental, special, or consequential damages arising in connection with the Program or these Terms, even if we have been advised of the possibility of such damages.
8. Indemnification 8.1. You agree to indemnify, defend, and hold harmless IONH LABORATOIRE, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your participation in the Program, breach of these Terms, or violation of any law or the rights of a third party.
9. Confidentiality 9.1. Any confidential information that is disclosed to you in connection with the Program must be kept confidential and not disclosed to any third party, except as necessary to fulfill your obligations under these Terms.
10. Amendments 10.1. We may amend these Terms at any time by posting the revised terms on our website. Your continued participation in the Program after such changes constitutes your acceptance of the new Terms.
11. Governing Law 11.1. These Terms shall be governed by and construed in accordance with the laws of Zürich, Switzerland, without regard to its conflict of laws principles.
12. Miscellaneous 12.1. These Terms constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether oral or written. 12.2.
